By creating an account, registering as a vendor, listing products, or making a purchase, you agree to these Terms. If you do not agree, please do not use our platform.

1. Definitions

  • “Platform” – The Supplier Matchmaker website and associated services.

  • “Vendor” – Any approved supplier listing products or services on the Platform.

  • “Buyer” – Any registered user who purchases or requests products/services from Vendors.

  • “We”, “Us”, “Our” – Supplier Matchmaker.

2. Eligibility

  • You must be at least 18 years old to use the Platform.

  • Vendors must provide accurate business information and required compliance documentation (e.g., business license, tax ID).

  • We reserve the right to approve, reject, or suspend accounts at our discretion.

3. Vendor Registration & Obligations

  • Vendors must complete the registration form, upload required documents, and agree to these Terms before approval.

  • Vendors are responsible for:

    • Ensuring all product descriptions, prices, MOQ, and lead times are accurate.

    • Maintaining compliance with applicable laws, regulations, and food safety standards.

    • Keeping licenses and certifications up to date.

  • Vendors must not list prohibited, counterfeit, unsafe, or illegal products.

4. Buyer Responsibilities

  • Buyers must provide accurate shipping, contact, and payment information.

  • Buyers are responsible for reviewing product details and vendor policies before purchasing.

  • Any disputes over product quality, delivery, or terms should be addressed directly with the Vendor first.

5. Transactions & Payments

  • Payments may be processed via integrated gateways (e.g., Stripe, PayPal) or as agreed between Buyer and Vendor.

  • We may collect a commission on sales made through the Platform.

  • Vendors are responsible for any applicable taxes, duties, or fees.

  • All payment disputes must follow our Dispute Resolution Policy.

6. Compliance & Document Verification

  • Vendors must submit valid licenses, tax IDs, and any required food safety certifications before listing products.

  • Failure to maintain valid documents may result in suspension or removal.

7. Diverse Supplier Identification

  • Vendors may self-identify as minority-owned, women-owned, small business, veteran-owned, or other categories.

  • Misrepresentation of diversity status may result in account termination.

8. Prohibited Activities

You may not:

  • Use the Platform for fraudulent, illegal, or deceptive purposes.

  • Upload harmful code, malware, or spam.

  • Infringe intellectual property rights of others.

  • Circumvent the Platform’s payment system to avoid fees.

9. Intellectual Property

  • All Platform content, branding, and design are owned by Supplier Matchmaker or licensed to us.

  • Vendors retain ownership of their product content but grant us a license to display, market, and promote it on the Platform.

10. Disclaimers & Limitation of Liability

  • Supplier Matchmaker is a facilitator and does not manufacture, store, or ship products.

  • We are not responsible for the quality, safety, legality, or accuracy of vendor listings.

  • Our liability is limited to the maximum extent permitted by law.
